TERMS AND CONDITIONS

These Terms and Conditions ("Terms") govern your access to and use of the Dhee application, website, and all related services (collectively, the "Service") offered through dheelearn.com ("Dhee", "we", "us", or "our").

Please read these Terms carefully before creating an account or using the Service. By registering, accessing, or using Dhee, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.


1. DEFINITIONS

Term Meaning
"Service" The Dhee mobile application, associated APIs, AI tutoring sessions, content library, and any other features made available through dheelearn.com.
"Parent Account" An account registered by a parent or legal guardian (18 years or older) to access the Service on behalf of a Child.
"Child" A student (typically Class 3–7, age 8–13) for whom the Parent Account is created and managed.
"Session" A single spoken or text-based tutoring interaction between the Child and the AI tutor ("Dhee"), covering one or more concepts.
"Concept" A discrete learning unit (e.g., a topic from CBSE/ICSE/IGCSE/IB curriculum) served to the Child during a Session.
"Subscription" A recurring paid plan granting access to the Service for a defined billing period.
"Content" All text, audio, images, knowledge-graph data, questions, and pedagogical material made available through the Service.
"User" The parent, legal guardian, or any adult who registers a Parent Account.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

2.1 Who May Register

The Service is designed for children in Classes 3–7 studying under CBSE, ICSE, IGCSE, or IB boards. Only a parent or legal guardian aged 18 years or above may create an account. By registering, you represent and warrant that:

(a) you are at least 18 years of age; (b) you have the legal capacity to enter into a binding agreement under the Indian Contract Act, 1872; (c) you are the parent or legal guardian of the Child for whom you are registering; and (d) all information you provide during registration is accurate, current, and complete.

Accounts must not be created by minors directly. If we discover that an account was registered by or for someone without parental consent, we reserve the right to suspend or terminate it immediately.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at support@dheelearn.com if you suspect unauthorised access to your account. Dhee is not liable for losses arising from unauthorised use of your credentials.

2.3 One Account Per Child

Each Child may be linked to only one Parent Account at a time. Attempting to create multiple accounts to circumvent usage limits or obtain duplicate free trials is a material breach of these Terms.

2.4 Parental Consent Record

By completing the child profile setup, you provide explicit parental consent for the Service to collect and process the Child's learning data as described in Section 11. This consent is recorded and timestamped in compliance with the Digital Personal Data Protection Act, 2023 ("DPDP Act").


3. THE DHEE SERVICE

3.1 What Dhee Does

Dhee is an AI-powered Socratic tutor. Rather than simply providing answers, Dhee engages the Child in a structured three-stage learning loop:

  1. Surface — recalling facts and definitions;
  2. Reasoning — understanding why and how concepts work;
  3. Application — applying knowledge to real-world and cross-curricular scenarios.

Sessions are conducted through a combination of voice (text-to-speech and speech recognition) and text, delivered through the Dhee mobile application.

3.2 Curriculum Coverage

At launch, Dhee covers the Class 6 curriculum aligned to CBSE/NCERT. Coverage for Classes 3–5 and 7 will be progressively released. We do not guarantee that every topic, chapter, or sub-topic within a board's syllabus will be available at any given time.

3.3 Nature of the Service

Dhee is an educational aid, not a substitute for a qualified teacher or school. The AI tutor is designed to supplement, not replace, classroom instruction. Dhee does not award academic credentials, grades, or certificates recognised by any educational board.

3.4 AI Limitations

The Service uses large language model AI. While we take extensive steps to ensure accuracy and age-appropriateness, AI-generated responses may occasionally contain errors, omissions, or imprecise explanations. We encourage parents to review session transcripts and report concerns to us at feedback@dheelearn.com.

3.5 Service Availability

We aim for high availability but do not guarantee uninterrupted access. Scheduled maintenance, infrastructure updates, or circumstances beyond our control (including Force Majeure events) may result in temporary downtime. We will endeavour to notify you in advance of planned maintenance.


4. SUBSCRIPTION PLANS AND BILLING

4.1 Plans

Dhee offers the following plans:

Daily session limits reset at midnight IST. Unused session time does not carry over to the next day. Plan pricing is inclusive of applicable Goods and Services Tax (GST) unless stated otherwise at checkout.

4.2 Free Trial

The Free Trial provides access to up to 5 Concepts at no charge. This is a lifetime allowance per Child profile — it does not reset and cannot be extended. Once exhausted, a paid Subscription is required to continue using the Service.

4.3 Purchasing a Subscription

Subscriptions are purchased exclusively through the Apple App Store or Google Play Store (each, an "App Store"). All billing, payment processing, and receipts are handled by the respective App Store under their terms. Dhee does not directly store or process your payment card details.

By initiating a purchase, you authorise the App Store to charge your payment method on a recurring monthly basis until you cancel.

4.4 Auto-Renewal

Subscriptions automatically renew at the end of each billing period at the then-current plan price unless cancelled at least 24 hours before the renewal date. You may manage or cancel your Subscription at any time through your App Store account settings.

Dhee does not process cancellations directly — cancellation must be completed through the App Store. Deleting the Dhee application does not cancel your Subscription.

4.5 Price Changes

We reserve the right to modify Subscription pricing. We will provide at least 30 days' advance notice via the email address linked to your Parent Account before any price change takes effect for existing subscribers. Continued use after the effective date of a price change constitutes acceptance of the new price.

4.6 Taxes

Prices displayed include GST at the applicable rate. You are responsible for any other taxes or duties applicable in your jurisdiction that are not collected by us.


5. REFUND POLICY

5.1 App Store Refunds

Because payments are processed by the App Store, refund requests are governed by Apple's or Google's refund policies respectively. Dhee does not independently process refunds for App Store purchases.

To request a refund:

5.2 Exceptional Circumstances

If you believe you are entitled to a refund due to a technical failure attributable to Dhee (e.g., a Session could not be initiated despite valid quota), please write to support@dheelearn.com with details. We will investigate and, where we determine a failure on our part, coordinate with the App Store or provide equivalent Service credit at our discretion.

5.3 No Refund for Consumed Access

Sessions or Concepts that have been accessed and used are not eligible for refund, regardless of the outcome of the session or the Child's learning progression.


6. USER CONDUCT AND PROHIBITED USES

You agree that you and the Child will use the Service only for lawful, educational purposes. The following are strictly prohibited:

(a) Misrepresentation: Providing false information about the Child's age, grade, or identity.

(b) Account Sharing: Sharing login credentials with persons other than the registered Child.

(c) Automated Access: Using bots, scripts, crawlers, or any automated means to access or extract content from the Service.

(d) Circumvention: Exploiting technical loopholes to bypass daily limits, free trial limits, or access controls.

(e) Reverse Engineering: Decompiling, disassembling, or reverse engineering any part of the application or its AI models.

(f) Harmful Content: Attempting to prompt, coerce, or manipulate the AI tutor into generating content that is obscene, violent, discriminatory, or otherwise harmful or inappropriate for children.

(g) Intellectual Property Infringement: Copying, reproducing, distributing, or commercially exploiting any Content from the Service without our prior written consent.

(h) Disruption: Conducting denial-of-service attacks, uploading malware, or otherwise interfering with the Service's infrastructure.

(i) Commercial Exploitation: Using the Service or any Content for commercial tutoring, resale, or competing product development.

Violation of this Section may result in immediate account suspension or termination without refund.


7. INTELLECTUAL PROPERTY

7.1 Dhee's Intellectual Property

All Content in the Service — including the AI tutor's conversational design, knowledge graphs, pedagogical frameworks, question banks, session flows, audio outputs, visual assets, and software — is owned by or licensed to the operator of dheelearn.com and is protected under Indian and international intellectual property laws including the Copyright Act, 1957 and the Patents Act, 1970.

We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Service solely for the personal, non-commercial educational use of the registered Child. No other rights are granted.

7.2 Feedback

If you submit feedback, suggestions, or ideas about the Service, you grant Dhee a perpetual, irrevocable, royalty-free, worldwide licence to use, incorporate, and commercialise such feedback without any obligation to compensate you.

7.3 Third-Party Content

Certain Content is derived from publicly available educational sources (NCERT, DIKSHA, CK-12). Such content remains subject to its original licences. Dhee's knowledge-graph transformation of this content is an original work.


8. PRIVACY AND DATA PROTECTION

Your privacy is fundamental to us. We operate in full compliance with the Digital Personal Data Protection Act, 2023 (DPDP Act) and follow internationally recognised principles of data minimisation, purpose limitation, and storage limitation.

Our Privacy Policy (available at www.dheelearn.com/privacy) describes in detail how we collect, use, store, and protect personal data. Key commitments applicable under these Terms:

8.1 Data We Collect

  • Parent's phone number (for Firebase Phone Authentication), email address, and name.
  • Child's first name, grade, and board.
  • Session interaction data (text transcripts of Dhee's questions and the Child's typed/spoken responses).
  • In-app photos submitted by the Child during sessions (e.g., handwritten answers).
  • Usage analytics (concept mastery status, session duration, feature usage).

8.2 Data We Do Not Collect or Retain

  • Voice audio is never stored. Speech is processed in real-time for recognition; raw audio is discarded immediately after transcription.
  • Session photos are deleted within 24 hours of upload.
  • Session transcripts are anonymised after 90 days.
  • We do not collect the Child's full name, date of birth, school name, or Aadhaar/government identity information.

8.3 Purpose Limitation

Data collected is used exclusively to: (a) deliver and personalise the tutoring experience; (b) maintain the Child's learning progress and cognitive profile (within the app); (c) send service-related communications to the parent; and (d) improve the Service through aggregated, de-identified analytics.

We do not sell, rent, or share personal data with third parties for advertising purposes.

8.4 Parental Rights Under DPDP Act

As the Data Fiduciary under the DPDP Act, dheelearn.com recognises the following rights of parents/guardians with respect to a Child's personal data:

  • Right of Access: Request a summary of personal data held about the Child.
  • Right of Correction: Request correction of inaccurate data.
  • Right of Erasure: Request deletion of the Child's data ("Right to be Forgotten"). We will process erasure requests within 30 days, subject to legal retention obligations.
  • Right to Withdraw Consent: Withdraw consent at any time. This will result in account termination and data deletion.

8.5 Data Localisation

All personal data is stored and processed in India (GCP Mumbai region, asia-south1) in compliance with applicable data localisation norms.

8.6 No PII in Logs

Our systems are configured to ensure that no personally identifiable information (PII), session transcripts, JWT tokens, or sensitive data is ever written to application logs.


9. CHILDREN'S SAFETY

9.1 Age-Appropriate Design

Every feature of Dhee is designed with the safety and well-being of children as the primary consideration. The AI tutor is strictly constrained to age-appropriate educational content for Classes 3–7. Content safety filters are applied at all times.

9.2 No Child-to-Child Interaction

The Service does not include social features, forums, messaging, or any mechanism by which children can interact with other users. All interactions are between the Child and the AI tutor only.

9.3 Reporting Harmful Interactions

If the AI tutor produces a response that appears inappropriate, inaccurate, or harmful, we urge you to report it immediately at safety@dheelearn.com with a description and, if possible, a screenshot. We treat all such reports as high priority.

9.4 Our Obligations

Dhee personnel and contractors who access session data are subject to strict access controls and confidentiality obligations. No employee directly views live session interactions. Aggregated data may be reviewed for safety and quality improvement purposes only.


10. DISCLAIMERS

10.1 No Educational Outcome Guarantee

Dhee is designed to support learning but does not guarantee any specific academic result, grade improvement, or learning outcome. Educational progress depends on many factors beyond the Service, including the Child's individual learning needs, effort, and school instruction.

10.2 No Professional Advice

The Service does not provide psychological, medical, or therapeutic advice. If you have concerns about a Child's learning difficulties, developmental delays, or mental health, please consult a qualified professional.

10.3 "As Is" Basis

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

10.4 Third-Party Services

The Service integrates with third-party platforms including Google Firebase, Google Cloud Platform, RevenueCat, and app stores. Dhee is not responsible for the availability, accuracy, or policies of these third-party services.


11. LIMITATION OF LIABILITY

To the maximum extent permitted under applicable Indian law:

(a) Dhee's aggregate liability to you for any claim arising under or in connection with these Terms (whether in contract, tort, or otherwise) shall not exceed the total Subscription fees paid by you in the three (3) months immediately preceding the event giving rise to the claim.

(b) Dhee shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profit, or loss of goodwill, even if advised of the possibility of such damages.

(c) Nothing in these Terms excludes or limits liability for death or personal injury caused by Dhee's negligence, fraud, or any other liability that cannot be excluded under applicable law.


12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the operator of dheelearn.com, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

(a) your breach of these Terms; (b) your violation of any applicable law; (c) your misuse of the Service; or (d) any content or information you submit to the Service.


13. TERMINATION

13.1 Termination by You

You may terminate your account at any time by deleting your account within the app or by writing to support@dheelearn.com. Termination takes effect within 7 business days. Any prepaid Subscription fees for the unused period are subject to the App Store's refund policy (Section 5.1).

13.2 Termination by Dhee

We may suspend or terminate your account with immediate effect and without notice if:

(a) you materially breach these Terms; (b) we are required to do so by law or court order; (c) continued access poses a risk to the safety of a Child or the security of the Service; (d) you provide fraudulent registration information.

We may also terminate accounts with 30 days' written notice (by email) for any other reason at our discretion.

13.3 Effect of Termination

Upon termination:

  • Access to the Service ceases immediately.
  • The Child's personal data will be deleted in accordance with our data retention schedule (within 30 days for profile data; transcripts anonymised immediately).
  • Accrued rights and obligations survive termination, including indemnification, limitation of liability, and dispute resolution provisions.
  • Re-registration after a termination for cause is prohibited without our prior written approval.

14. MODIFICATIONS TO THE SERVICE AND TERMS

14.1 Changes to the Service

We continuously improve the Service. We may add, modify, or remove features at any time. For material changes that reduce core functionality included in a paid plan, we will provide at least 14 days' advance notice.

14.2 Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via the email address on your account and/or a prominent in-app notice at least 15 days before the changes take effect. If you do not agree with the revised Terms, you may terminate your account before the effective date. Continued use after the effective date constitutes acceptance.

The current version of these Terms is always available at www.dheelearn.com/terms.


15. GOVERNING LAW AND DISPUTE RESOLUTION

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.

15.2 Informal Resolution

Before initiating formal proceedings, you agree to attempt resolution by writing to legal@dheelearn.com with a description of your dispute. We will endeavour to respond within 15 business days. Many concerns can be resolved at this stage.

15.3 Arbitration

If a dispute cannot be resolved informally within 30 days, it shall be finally settled by binding arbitration before a sole arbitrator mutually appointed by the parties, conducted under the Arbitration and Conciliation Act, 1996 (as amended):

  • Seat and venue: Bengaluru, Karnataka, India
  • Language: English
  • Award: Final and binding on both parties

Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm.

15.4 Jurisdiction for Court Proceedings

For matters not subject to arbitration, or for enforcement of an arbitral award, the parties submit to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.

15.5 Consumer Disputes

Nothing in these Terms limits your rights under the Consumer Protection Act, 2019 or any other applicable consumer protection legislation. If you are a consumer under that Act, you may raise a complaint before the appropriate Consumer Disputes Redressal Commission.


16. COMMUNICATIONS AND MARKETING

By creating an account, you consent to receiving:

  • Transactional communications (account confirmations, billing receipts, service alerts) via the email and phone number registered with your account.
  • Product updates, learning reports, and in-app notifications related to the Child's progress.

You may opt out of non-transactional communications at any time through your account settings or by writing to support@dheelearn.com. Opting out of transactional communications is not possible while your account remains active.

We may send SMS or WhatsApp messages to the registered mobile number for service-critical notifications. Such communications are authorised by you and may supersede the NDNC/DND registry status as permitted under applicable TRAI regulations.


17. FORCE MAJEURE

Dhee shall not be liable for any failure or delay in performance of obligations under these Terms resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, internet or telecom infrastructure failures, cyberattacks on third-party providers, or power failures.


18. GENERAL PROVISIONS

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dhee with respect to the Service and supersede all prior communications, representations, and agreements.

18.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.

18.3 No Waiver

Dhee's failure to enforce any provision of these Terms shall not constitute a waiver of that provision or of our right to enforce it in the future.

18.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Dhee may assign these Terms in connection with a merger, acquisition, or sale of assets, with notice to you.

18.5 Language

These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version prevails.
